JUMBONETHK mainly develops and designs Live Video Chat Host Software and related Web Sites, which can be access through Personal Computers (PCs) with a modem or direct Internet or Intranet connection.

The WEBMASTER desires to market Internet Live Video Chat Host Sites utilizing Jumbonet Live Video Software and Management tools.

Understanding and accepting the position and function of both parties, both parties have duly agreed upon the following:

TERMS AND CONDITIONS

1. JUMBONETHK grants the Webmaster the right to promote its website worldwide. The software consists of a chat host download version console and a website with viewer console java version.

2. JUMBONETHK will provide the following software and services covered by this agreement:
Complete Internet Live Video Chat Package, including:

CHATHOST SOFTWARE
- Peer to Peer live audio and video streaming.
- Free Video Bandwidth
- Multiple host for audio and video streaming.
- Site can be hosted in most standard webhosting packages.
- Capable of accepting large number of viewers.
- Unlimited number of chathosts.
- Unlimited audio and video transfer size.
- Centralized photo archive storage for ease archive management.
- Editable pricing option for private session.
- Audio alerts when viewer enters and leaves session.
- Runs simultaneously with most of the famous video chathost software
in the market.
- Actually, the options included in the package are free video for registered or
not registered viewers, free chat or not, allow multi video session or not.
- Txt chat history and video control panel.

WEBSITE
- You own your registered domain name.
- One web site for adult and non-adult categories.
- Non-downloadable java viewer console .
- Download page for the chathost software with installer and auto-updater.
- Set up credit card processing and other payment systems (optional).

ONLINE ADMINISTRATIVE TOOLS
- Browse and edit viewer and chathost data.
- Browse and edit viewer private session history.
- Payment schedule for chathost private sessions.
- Ban or unban IP addresses.

BUSINESS TOOLS
- Partner, affiliate, and advertisers program.
- Chathost sharing. Allows new site owners to easily fill there who's online page with chathosts. And for the old site owners to increase there profit by taking a certain percentage on the shared chathost private sessions.
- Chathost multi-earner option. Chathosts are not restricted to use other chathost software together with our chathost software. With this we are allowing the best chathosts to be on our chathost site without letting them leave their existing chathost site and to double their income and your income if you are studio owner and your income if you are studio owner..

Option1.Purchase.

3. JUMBONETHK will charge the following fees for the sale of a Single User License and services rendered as described under 2:

Additional services:
c. Additional new features (when available), per module after quotation.
d. The hosting server cost not included.
e. Additional Engineering, Designing, or Programming services, when requested,
(plus travel and accommodation expenses, if necessary), After quotation.

Option 2.

Leasing software.

2 The Webmaster shall transfer all payments when due by telegraphic transfer (TT) to an account designated by JUMBONETHK

The WEBMASTER acknowledges expressively that all payments made are non-refundable.

1. If applicable, the WEBMASTER undertakes to arrange and to sign up for online payment systems. The technical aspect of such system needs JUMBONETHK’s approval. JUMBONETHK contracts to integrate the relevant software into the Website and Accounts Management tools, after quotation.

2. The WEBMASTER acknowledges that, if necessary, for legal and technical security reasons, the physical location of the hosting server needs to be approved by the Management of JUMBONETHK

3. For maintenance needs the WEBMASTER acknowledges that he will give full access to the hosting server.

4. JUMBONETHK contracts to set up and install the Software and the relevant Website within 30 days of receipt of down payment. However, JUMBONETHK will not be liable for delays caused by third parties or acts of God.

5. In addition to the above, the following are agreed upon:

a. This agreement shall commence and be effective ……………... .
b. The WEBMASTER acknowledges that he is purchasing Single User Licenses only and that all software referred to in this Agreement remains the sole intellectual property of JUMBONETHK.
c. JUMBONETHK and the WEBMASTER pledge each other to keep all information obtained in connection with this Agreement strictly confidential.
d. This Agreement is written in accordance with the laws of Hong Kong. Any legal dispute shall be assigned only to the courts in Hong Kong.
e. The webmaster agree to use the software in respect to the law of his country or the country where the software be used.
f. The Webmaster agrees that he is solely responsible for the use of the chathost software.

6. In the event any term of this Agreement is deemed to be ambiguous or unenforceable according to local laws, both parties agree to resolve such ambiguity or unenforceable provision within the context and intent of this agreement. The legality of the whole agreement will be in no way affected.
